Welcome to Sourcery Procurement Platform Inc. www.gosourcery.com (the “Site”). Sourcery Procurement Platform Inc. provides the Sourcery Procurement Platform Services (the “Service”). The following Terms and Conditions agreement ("Agreement") govern all use of the Sourcery Procurement Platform Services and all associated features. By accessing or using Sourcery Procurement Platform Inc. Site you agree to adhere to this Agreement whether or not you are a registered user.
BY USING OR ACCESSING ANY PART OF THE SERVICE, YOU CONFIRM THAT YOU HAVE FULLY READ, UNDERSTOOD AND AGREED TO ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN; IF YOU DO NOT AGREE, DO NOT USE OR ACCESS THE SERVICE.
Scope of Services
Sourcery Procurement Platform Inc. provides and facilitates a platform for users to access information about products and services as well as to collaborate within the platform.
The following services are offered to Users (i) access/view/edit/use lists of information (products and services); (ii) functionality for sufficient project management of clients' projects; (iii) collaboration within the platform.
Your Use of the Site and Services
Account registration
You are required to register an account to use the Sourcery Procurement Platform Service. You hereby acknowledge that when you complete the registration procedures by adding your personal information such as name, last name, e-mail address, company name and title , you represent and warrant that you meet all the requirements under this Agreement and are in full compliance with applicable laws.
Provision of false or misleading information when you register an account is strictly prohibited. It is solely your responsibility to keep all information requested by Sourcery Procurement Platform Inc. accurate and up-to-date.
It is strictly prohibited to register the account for the use of another person, alter ego, or other identity.
Please keep your account and password information private and do not do anything that might compromise the security of your account. You agree to immediately notify Sourcery Procurement Platform Inc. of any breach of security. You agree and acknowledge that the Sourcery Procurement Platform Inc, will not be liable for any direct or indirect loss or damages caused under such circumstances. You are solely responsible for any activities that occur under your account.
Sourcery Procurement Platform Inc. may restrict your access to parts or all of the Service without notice. You agree that Sourcery Procurement Platform Inc. or its affiliates will not be liable to you or any third-party as a result of its termination of your access to the Service.
Users shall be responsible for obtaining and maintaining any compatible equipment or ancillary services needed to connect to the account and use the Service.
Once your account is terminated, you acknowledge and agree that we may permanently delete your account and all the data associated with it.
Site Content
User agrees that all content, materials, information listed/posted on the Sourcery Procurement Platform Inc. Site or otherwise made available by Sourcery Procurement Platform Inc. as part of the Service on the Site or elsewhere (collectively, “Content”) may be protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws.
Users may use such Content only for reasons defined by this Agreement provided that User retains all copyright and other proprietary notices contained therein. Reproducing, copying or distributing any content from the Site for any other purpose is strictly prohibited.
Sourcery Procurement Platform acknowledges and agrees that the intellectual property rights with respect to the User generated content belong solely to the User
You understand and agree that Sourcery Procurement Platform Inc. endorses no products and services within the Site, and verifies no specifications or other information regarding the products and services listed/posted on the Site.
Use of Content for any purpose not expressly permitted in this Agreement is prohibited. Any rights not expressly granted herein are reserved.
Use of the Sourcery Procurement Platform Services
You represent and warrant that your use of the Service (i) will comply with all applicable laws and regulations (including with respect to intellectual property, privacy, cyber security and data protection); (ii) will not infringe or otherwise violate any third party intellectual property rights or any applicable laws or regulations, and (iii) will not conflict with any obligations User has to any third party.
You shall fully adhere to any policies which are incorporated into this Agreement as well as to this Agreement itself, including but not limited to Sourcey Procurement Platform Inc.’s Privacy Policy.
Sourcery Procurement Platform lnc. reserves the right to edit, monitor, review, delete, modify, or move any content or material provided or placed on or through the Site in its sole discretion, without notice.
If Sourcery Procurement Platform lnc. provides updated versions of the Site and/or and you do not accept updated versions of the Site and Services, Sourcery Procurement Platform inc. shall not bear any responsibility or liability for your decision.
Sourcery Procurement Platform Inc. may monitor your activity on the Site and use this data to continue to improve the Site and the Services for the benefit of you.
By using the Site and Services you specifically agree to allow Sourcery Procurement Platform Inc. to monitor your activity and collect and use your data in this manner.
You understand, however, that Sourcery Procurement Platform Inc. cannot and does not make any warranties or guarantees that: (i) the Site and Services, or any component thereof, will be made free from error or inaccuracy as a result of such monitoring or free from unauthorized and/or unacceptable use as a result of such monitoring; (ii) any statements or factual items presented by the Services will be free from error or authenticated; or (iii) Sourcery Procurement Platform Inc. will take any action in the event of any non-compliance with these Terms of Use.
While Sourcery Procurement Platform Inc. respects its users, you agree that Sourcery Procurement Platform Inc. may terminate your use of the Site and/or the Services and prohibit you from accessing the Site and/or the Services, for any reason, or no reason, and with or without notice.
You hereby represent and warrant that you are 18 years old or older, and/or are fully eligible to use the Sourcery Procurement Platform Services and register the account on the Site.
You hereby represent and warrant that you are solely responsible for ensuring that this Agreement complies with all laws, rules and regulations applicable to you
Fees
A fee shall be paid for the Sourcery Procurement Platform Services through the Site. The fee varies upon the volume of information available to the user. The Users can pay fees using any online payment methods provided by the Sourcery Procurement Platform Inc. ("Sourcery Procurement Platform payment methods").
You may not use Sourcery Procurement Platform payment methods to process any of the following transactions and you represent and warrant that you will not submit for processing through the Sourcery Procurement Platform payment methods: (i) any transaction that would violate any law or is considered high risk, (ii) any transaction that is fraudulent or criminal in nature; or (iii) any transaction that would constitute sending money to another party other than the Sourcery Procurement Platform Inc. Any transaction that falls into any of the categories set forth above, as determined by Sourcery Procurement Platform Inc. in our discretion, is a "Prohibited Transaction."
Ownership and usage of intellectual property rights
You understand and agree that the Site and its entire contents, features, and functionality, including, but not limited to, all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement, are owned by Sourcery Procurement Platform Inc., its licensors, or other providers of such material and are protected in all forms by intellectual property laws including without limitation, copyright, trademark, patent, trade secret, and any other proprietary rights.
Sourcery Procurement Platform Inc.’s name and all related names, logos, product and service names, designs, images, and slogans are trademarks of Sourcery Procurement Platform Inc.or its affiliates or licensors. You must not use such marks without the prior written permission of Sourcery Procurement Platform Inc. Other names, logos, product and service names, designs, images, and slogans mentioned, or which appear on this Site are the trademarks of their respective owners. Use of any such property, except as expressly authorized, shall constitute an infringement or violation of the rights of the property owner and may be a violation of federal or other laws and could subject the infringer to legal action.
You may only use the Site for your personal and non-commercial use. You shall not directly or indirectly reproduce, compile for an internal database, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, in any form or medium whatsoever except:
Users are not permitted to modify copies of any materials from this Site nor delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site. Sourcery Procurement Platform Inc. reserves the right to immediately terminate your account or any user account without notice in case of copyright infringement.
Conditions of Use and User Submissions
As a condition of your access and use, you agree that you may use the Site only for lawful purposes and in accordance with these Terms and Conditions.
The following content standards apply to any and all content, material, and information a user submits, posts, publishes, displays, or transmits (collectively, "submit") to the website, to other users or other persons (collectively, "User Submissions") and any and all interactive functions. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content.
Sourcery Procurement Platform Inc. disclaims any responsibility for any harm resulting from usage of the Sourcery Procurement Platform Services by the users, or from viewing or downloading by those users of content posted on the Site.
Legal Conditions
Liability
Sourcery Procurement Platform Inc. liability is limited.
In no event will Sourcery Procurement Platform Inc. or its directors, employees or agents have any liability whatsoever for your use of any content, material or information posted on the Site, or available through the Sourcery Procurement Platform Services
Sourcery Procurement Platform is a platform, so it cannot bear responsibility or liability for any materials or information (including without limitation, text, identities, images, content, copy, descriptions, and prices) of products and services listed on the Site as well as information about vendors or any other third parties listed on the Site.
Sourcery Procurement Platform Inc. does not control, review, screen or verify any products and services listed on the Site or the identity or background of any user or vendor, any third party content or the information provided by third parties, vendors, or supported platforms on the Site, and therefore shall not be responsible for any information or statements made on the Site or through the Sourcery Procurement Platform Services.
Sourcery Procurement Platform Inc. shall not be liable for any transactions made between you and any third party, and you agree that any such transaction is expressly between you and the third party; you therefore release Sourcery Procurement Platform Inc. and its officers, employees, affiliates, members, managers, and subsidiaries, from any and all claims, demands, and disputes.
You agree that Sourcery Procurement Platform Inc. shall not be responsible or liable for any loss or damage of any sort incurred as the result of any dealings between users and vendors or any other third parties.
Identification
User shall indemnify the Sourcery Procurement Platform Inc. and its officers, directors, employees, agents, and representatives from each and every demand, claim, loss, liability, or damage of any kind, including actual attorneys’ fees, whether in tort or contract, that it or any of them may incur by reason of, or arising out of or in connection with: (i) your use of the Site and the Sourcery Procurement Platform Services, (ii) any User Content and/or Submission, Third Party Content, Third Party Sites and any other content, (iii) interactions with vendors (iv) your violation of this Agreement, or of any law or the rights of any third party, and (v) your breach of this Agreement and/or any breach of your representations and warranties set forth herein.
Warranty conditions
The information from or through the Site and the Sourcery Procurement Platform Services is provided “as is,” “as available,” with all faults, and the Sourcery Procurement Platform Inc. expresses no representations or warranties, of any kind related to this Site or the Services provided or the content, materials and/or information listed/posted on this Site.
You expressly agree that your use of the Sourcery Procurement Platform Services and the Site is at your sole risk.
Miscellaneous
Entire Agreement.This Agreement shall constitute the entire agreement between you and the Sourcery Procurement Platform Inc. and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this Agreement.
Privacy. You understand and acknowledge that your use of the Site and the Sourcery Procurement Platform Services is governed by the Privacy Policy, which is incorporated into this Agreement by this reference.
No Partnership Or Agency. No agency, partnership, joint venture, or employment relationship is created as a result of this Agreement and the User does not have any authority of any kind to bind Sourcery Procurement Platform Inc. in any respect whatsoever.
Governing Law & Jurisdiction. The Site and these Terms and Conditions will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Severability. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.
Assignment. Sourcery Procurement Platform Inc. may assign its rights under this Agreement without condition.

By engaging with the Sourcery Support and Service team for project work on the Sourcery platform, you acknowledge that you may be providing access to confidential and proprietary information related to your projects, client data, and internal processes ("Confidential Information"). By choosing to engage with the Sourcery Support, you consent to the following terms:
Acknowledgement of Confidential Information
You recognize that in the course of using the Sourcery support team, Confidential Information may be shared or accessed by the assistant to facilitate project work. This may include, but is not limited to, project specifications, client communications, and proprietary data.
Commitment to Security
Sourcery commits to maintaining the confidentiality and security of your Confidential Information accessed by the Sourcery team, employing reasonable and appropriate measures to protect it against unauthorized use or disclosure
Use of Information
The Confidential Information accessed by the Sourcery support team will be used solely for the purpose of assisting you in your project work on the Sourcery platform. Sourcery will not use your Confidential Information for any unrelated purposes or benefit.
Compliance with Privacy Policy and Terms of Service: Both you and Sourcery agree to adhere to Sourcery's Privacy Policy and Terms of Service regarding the handling, processing, and protection of Confidential Information, which can be found at:

Notification of Breach: In the unlikely event of a breach or unauthorized access to your Confidential Information, Sourcery will promptly notify you and take necessary steps to mitigate any potential harm.
